On September 22, 2022, Upwork Inc. (the “Company” or “Upwork”) announced that it has initiated a search for a new Chief Financial Officer. In order to facilitate a smooth transition of his responsibilities, Jeff McCombs, the Company’s Chief Financial Officer, will remain with the Company through December 31, 2022 (the “Separation Date”). The Company is working with an external search firm to identify the Company’s next Chief Financial Officer.
On September 21, 2022, the Company and Mr. McCombs entered into an agreement (the “McCombs Transition Agreement”) setting forth the terms of Mr. McCombs’ separation from the Company. Pursuant to the McCombs Transition Agreement, subject to a release of claims by Mr. McCombs, Mr. McCombs will be entitled to certain payments and benefits after the Separation Date, including (i) a lump sum payment equal to six months’ base salary and (ii) reimbursement for any insurance premium payments paid by Mr. McCombs to continue to receive coverage under the Consolidated Omnibus Budget Reconciliation Act of 1985, as amended (“COBRA”), through the earlier of (x) the effective date on which he becomes covered by a substantially equivalent health insurance plan of a subsequent employer, (y) six months following the Separation Date, and (z) the date he is no longer eligible for COBRA benefits. Mr. McCombs’ outstanding equity awards will continue to vest through his Separation Date.
The foregoing description of the McCombs Transition Agreement is qualified in its entirety by reference to the full text of the McCombs Transition Agreement, which will be filed as an exhibit to the Company’s Quarterly Report on Form 10-Q for the fiscal quarter ending September 30, 2022.

Upwork Initiates Chief Financial Officer Transition Plan
Current CFO Jeff McCombs to remain at Upwork through December 31, 2022;
Company reaffirms third quarter 2022 guidance

SAN FRANCISCO, September 22, 2022 (GLOBE NEWSWIRE) -- Upwork Inc. (Nasdaq: UPWK), the world’s largest work marketplace that connects businesses with independent talent, as measured by gross services volume, today announced that it has initiated a search for a new Chief Financial Officer. Current CFO Jeff McCombs will remain with the Company through the end of the calendar year to support the transition plan. The Company and its Board of Directors will work with an external search firm to identify its next CFO.

Non-GAAP basic and diluted loss per share between $(0.06) and $(0.08)
